Terms of Service

1. Who can use the Service

You must be at least 18 and use the Service for business purposes, to research and contact investors about raising capital for a company you are authorised to represent.

2. What the Service is (and isn't)

Seedlist is a searchable database of investor firms and, for some firms, a contact person. The information is compiled from public and third-party sources and may be incomplete, out of date, or wrong. We do not guarantee the accuracy of any record, that any email address is deliverable, or that any investor will respond or invest.

Seedlist is not a broker-dealer, placement agent, finder, or investment adviser. We do not introduce you to investors on a transaction basis, take any fee based on funds you raise, or provide legal, tax, financial or investment advice. Any fundraising is between you and the investor, and you are responsible for complying with securities laws.

3. Your account

• Provide accurate information and keep your login secure. You are responsible for activity under your account.
• One account is for one person. Do not share your login or let others use your credits.
• Tell us promptly if you suspect unauthorised use.

4. Plans and billing

Paid plans are billed through our payment processor, Stripe, monthly or annually in advance, in US dollars unless stated otherwise. Prices are shown on the pricing page and exclude taxes, which we add where required.

• Payment and auto-renewal: you are charged when you subscribe, and your subscription then renews automatically at the end of each billing period (monthly or annual, depending on your plan) until you cancel.
• Price changes: we'll give you at least 30 days' notice of any price change before it applies to your next renewal.
• Failed payments: if a payment fails, your subscription may become past due and we may suspend access to unlocks and exports until payment is resolved.

5. Unlocks, exports and fair use

All paid plans include unlimited contact unlocks and 1,000 CSV export rows per month, for your own fundraising outreach.

• One unlock reveals the contact details we hold for one firm (contact person's name, title, LinkedIn and email, where available). Firms with no contact on file cannot be unlocked. Unlocked contacts stay visible to you while your account is active.
• "Unlimited" unlocks means there is no numerical cap on normal use. It does not permit extracting the database in bulk, using automated tools, or building a competing database or product from it. We may throttle, suspend or limit an account whose usage looks automated, abusive or inconsistent with fundraising outreach.
• Export limit: each export row counts toward your monthly allowance of 1,000 rows. The allowance resets every month from your subscription start date (also on annual plans) and unused rows do not carry over. Exports include contact details only for firms you have unlocked.
• We may change plan features for future billing periods with reasonable notice.

6. Cancelling

You can cancel any time from your Account page. Cancellation takes effect at the end of the current billing period; you keep access until then. See our Refund Policy for refunds.

7. Acceptable use

You may use investor information only to make legitimate, relevant fundraising outreach. You must:

• comply with all laws that apply to your outreach, including anti-spam and privacy laws (for example CAN-SPAM, CASL, GDPR and PECR), and honour any request to stop contacting someone;
• send accurate, non-deceptive messages that identify you and your company;
• not use the data to promote unrelated products or services, for recruiting, for bulk unsolicited marketing, or for any unlawful purpose.

You must not:

• scrape, crawl or systematically copy the database, or use automated tools to access it;
• resell, sublicense, publish or share the data or your exports with anyone outside your company;
• circumvent technical limits or fair-use controls, or probe or attack the Service;
• use the Service to harass, or to collect data about investors for any purpose other than contacting them about your fundraising.

8. Removal requests and corrections

Investors can ask us to remove or correct their information using our removal request form. If we remove a record, you must stop using any copy you exported. Removed records are not restored.

9. Intellectual property

The Service, its design, and the compiled database are owned by us or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service and the data you unlock or export for your own internal fundraising outreach, subject to these Terms. You keep ownership of anything you submit to us.

10. Suspension and termination

We may suspend or terminate your access immediately if you breach these Terms, misuse the data, or create legal or security risk. If we terminate for breach, we may withhold refunds where the law allows. You can stop using the Service at any time.

11. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including accuracy, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or opportunities. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.

13. Indemnity

You will indemnify us against claims, losses and costs arising from your misuse of the Service or data, your breach of these Terms, or your outreach to investors.

14. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, and disputes will be resolved in the courts of the State of Wyoming, USA, except where mandatory consumer or local law says otherwise.

15. Changes

We may update these Terms. For material changes we'll notify you by email or in the app before they take effect. Continuing to use the Service afterwards means you accept the updated Terms.
